1. Definitions

In these general terms and conditions, the following words, both singular and plural, shall have the meanings as defined below:

• Love-Lab : The Love Group, a company incorporated under the laws of Belgium, with address at Schupstraat 20, 2018 Antwerp, Belgium, and registered in the Belgian CBE under the number 1017.670.055;
• Customer : a private individual or a legal entity that wishes to conclude or has concluded an agreement with Love-Lab for the purchase of a product, or that receives a quotation or places an order for that purpose;
• Product : the jewellery items produced and/or offered for sale to a customer by Love-Lab.

2. Applicability

2.1. These general terms and conditions apply to all (negotiations regarding) agreements for a product between Love-Lab and the customer, including but not limited to quotations and orders to this end.

2.2. These general terms and conditions take precedence over any provisions specified in the customer’s documents and terms and conditions, which the customer explicitly agrees to be non-applicable.

3. Product information

3.1. In the products sold to the customer, Love-Lab uses amongst others the following materials:

• lab-grown diamonds and coloured gemstones;
• 925 sterling silver; and
• 18k gold (upon request).

3.2. Each product is custom-made to order and may be personalized with the customer’s choice of colour, stone, size, and/or engraving (if available).

3.3. Each product comes in Love-Lab’s signature collectible packaging, designed to keep for protecting the product.

3.4. All products are accompanied by a Love-Lab certificate of authenticity. Upon request, diamonds over 0.50 carats may include an independent lab certificate.

4. Orders & payment

4.1. All product quotations will in no event remain valid for more than thirty (30) calendar days after being issued.

4.2. A product order shall only be deemed to be placed and production of the ordered product begins only upon full payment according to Love-Lab’s payment instructions.

4.3. Unless otherwise agreed, all payments shall be made in EURO and are due upon receipt of the invoice without discount. Any applicable VAT, customs duties, shipping costs or import taxes are the responsibility of and shall be paid by the customer.

4.4. Any delivery times or other delivery modalities are merely indicative.

4.5. Orders can be changed or cancelled within twenty-four (24) hours after Love-Lab received payment of the order. After this period and to the extent allowed under the applicable law, changes or cancellations are no longer possible due to the custom and made-to-order nature of the product and, unless otherwise agreed, no (partial) restitution shall be possible.

5. Warranty, returns & repairs

5.1. As all products are custom-made, returns and/or refunds after delivery of the product to the customer are not accepted, without prejudice to the legal warranty under Article 5.2 or unless otherwise agreed between Love-Lab and the customer.

5.2. The products are covered by a legal warranty for manufacturing defects of twenty-four (24) months. The customer acknowledges that the products are handmade. Minimal differences e.g. in size, shape, colour and finish are therefore possible and cannot be considered as a manufacturing defect.

5.3. Any accidental damage or wear and tear to the products after delivery may be repaired by Love-Lab at the customer’s sole expense and is not covered by the legal warranty under Article 5.2.

5.4. With the exception of the legal warranty under Article 5.2, all products are sold and delivered “as is”.

5.5. Love-Lab is not liable for a delay or shortcoming in the performance of any of its obligations, including any obligations it may have relating to the product, if and insofar as this is the indirect or direct result of force majeure.

6. Miscellaneous and applicable law and jurisdiction

6.1. The customer expressly acknowledges that Love-Lab is and shall at all times remain the sole and exclusive owner of all intellectual property rights in the products and/or its designs.

6.2. The customer shall retain all Love-Lab’s confidential information and trade secrets (e.g. designs, manufacturing techniques and supply chain information) in strict confidence.

6.3. Love-Lab may update these general terms and conditions if required by law, for security reasons, or to reflect changes in its jewellery services or pricing policy. In such case, the customer will be informed at least fifteen (15) days in advance.

6.4. Love-Lab and the customer agree that these general terms and conditions and all quotations, orders and/or agreements between them shall be governed and interpreted in accordance with Belgian law.

6.5. Love-Lab and the customer agree that any and all disagreements or disputes which may arise in connection with the validity, interpretation or execution of these general terms and conditions, quotations, orders and/or agreements shall be submitted to the exclusive jurisdiction of the competent courts of the judicial district of Antwerp, Belgium.
